Joint ventures remain a common vehicle for foreign investment and local partnerships in Cambodia. We conduct legal due diligence on potential partners and target assets, identifying title, license, litigation, labor and regulatory risks. We then structure and negotiate joint-venture agreements covering ownership, governance, funding obligations, information rights, deadlock resolution, transfer restrictions and exit mechanisms. Particular care is taken with land-use rights, foreign-ownership limitations, and the protection of technology or brand contributions. A well-drafted JV agreement significantly reduces the likelihood of costly disputes later.
