Acquisition financing and other leveraged structures used by private-equity sponsors must be carefully documented to ensure enforceability of security and intercreditor rights in Cambodia. We advise on the local-law aspects of security packages over shares, land, receivables and movable assets, and on the interaction between offshore and onshore financing documents. Intercreditor arrangements, guarantee limitations and corporate-benefit issues receive particular attention.
