Although hostile takeovers remain less common in Cambodia than in more mature markets, shareholder disputes and contested control situations do arise. We advise controlling shareholders, independent directors and potential acquirers on the legal tools available under the Law on Commercial Enterprises and related regulations, including meeting procedures, information rights, and defensive measures that are lawful and effective. Clear constitutional documents and shareholders’ agreements remain the best preventive protection.
