M&A transactions occasionally give rise to disputes over representations and warranties, completion accounts, earn-outs, indemnities, and post-closing covenants. Shareholder conflicts, competing bids and broken-deal claims also arise. We represent buyers, sellers and other stakeholders in these disputes before Cambodian courts and arbitral tribunals. Because deal documents are often governed by foreign law while assets or parties are Cambodian, conflict-of-laws and enforcement issues frequently require careful handling. We work to preserve deal value where possible and to achieve clear, enforceable outcomes when litigation is necessary.
